SPORTS INDUSTRY CREDIT ASSOCIATION (SICA) / CONFIDENTIALITY AGREEMENT

NOTICE TO MEMBER/USER - PLEASE READ THIS AGREEMENT CAREFULLY |

If you log-in to the confidential areas of this website, Member/User agrees to accept all of the terms and conditions hereinafter stated: |

|
1. LIMITED USE OF INFORMATION. |
|
|
Member/User agrees that all information, data and materials retrieved from the site shall be for the sole and limited purpose of evaluating the creditworthiness of retailers. |
|
|
2. CONFIDENTIALITY OF INFORMATION. |
|
|
Member/User agrees to keep all of the information, data and materials conveyed to Member/User confidential and not to communicate, disclose or convey any such information, data and materials to any persons or entities except to employees of Member/User who have a need to know all or part of the information and materials for the limited use and purpose referred to in paragraph one (1). The Member/User shall make such disclosure to each such employee limited to that portion of the information and materials disclosed that the employee needs to know. The Member/User shall inform each employee of the provisions of this Confidentiality and Non-Disclosure Agreement and shall be responsible for insuring that each such employee shall abide by these provisions.

3. INDEMNITY. |
|

Member/User agrees to hold SICA harmless from any and all liabilities, losses, actions, damages or claims (including expenses and attorneys fees) arising out of, or relating to any use of, or relating to the misuse of any of the information, data and materials in contravention of this Agreement.

4. LIMITED LIABILITY. |
|
|
Under no circumstances will SICA be liable to Member/User, or any other person, or entity, for any loss of revenue, profit, or other commercial, or economic loss whatsoever, related to Member/User’s use of or reliance upon the information, data or materials. |

|
5. GOVERNING LAW. |
|
|
This Agreement is governed by the laws of the Province of Quebec. |
|
|
6. GENERAL PROVISIONS. |
|
|
If any part of this Agreement is declared to be unenforceable, it shall not affect the validity of the balance of this Agreement.
This Agreement may only be modified by a writing signed by an authorized officer of SICA. |
